1. Agreement to Terms 

These Terms of Use (“Terms”) govern your access to and use of the website(s), products, and services of ADG Consulting, including our ADG Express product and any related content, tools, and features (collectively, the “Services”). 

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Services. 

You represent that you are at least 18 years old and have the legal authority to enter into these Terms on your own behalf or on behalf of the business you represent. 

2. About ADG Consulting and ADG Express 

ADG Consulting (“ADG Consulting,” “we,” “us,” or “our”) is a US-based business providing consulting and related services, including our ADG Express offering. 

The Services may include online tools, educational materials, templates, and other resources to help you with your business, but we do not provide legal, tax, or accounting advice, and we are not a law firm. You are responsible for obtaining your own professional advice where needed. 

3. Changes to These Terms 

We may update or modify these Terms from time to time. 

When we make changes, we will update the “Last updated” date at the top of this page and may provide additional notice where required by law. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services. 

4. Accounts and Registration 

To use certain features of the Services, you may need to create an account. 

  • You must provide accurate, current, and complete information during registration and keep it updated. 
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 
  • You agree to notify us promptly at support@adgexpress.com if you suspect any unauthorized use of your account or any other breach of security. 

We reserve the right to refuse, suspend, or terminate your account at our discretion, including for violation of these Terms or suspected misuse of the Services. 

5. Use of the Services 

You agree to use the Services only for lawful purposes and in accordance with these Terms and any additional guidelines or policies we may provide. 

You agree that you will not: 

  • Use the Services in any way that violates applicable law or regulation. 
  • Attempt to gain unauthorized access to any systems, networks, or data. 
  • Use the Services to send spam, harmful code, or other disruptive content. 
  • Reverse engineer, decompile, or attempt to extract source code from the Services except to the extent permitted by applicable law. 
  • Use the Services in a way that could interfere with, disrupt, or negatively affect other users or our infrastructure. 

We may monitor use of the Services to ensure compliance with these Terms. 

6. Purchases, Pricing, and Payment 

Some parts of the Services, including ADG Express, may be offered for a fee (such as one‑time purchases, subscriptions, or packages). 

  • Prices, features, and availability are subject to change without notice, except as otherwise required by law. 
  • By submitting an order, you authorize us (and our payment providers, including Shopify) to charge the payment method you provide for all applicable fees, taxes, and charges related to your purchase. 
  • You are responsible for providing accurate billing information and for any charges incurred using your account. 

Any specific billing cycles, renewal terms, refunds, or cancellation conditions for ADG Express or other paid offerings will be disclosed at checkout or in product-specific terms, which are incorporated into these Terms. 

7. No Legal, Tax, or Professional Advice 

The information, content, and tools provided through the Services are for general informational and educational purposes only. 

They do not constitute legal, tax, financial, or accounting advice, and your use of the Services does not create an attorney‑client, accountant‑client, or other professional advisory relationship. You should consult qualified professionals before making decisions that could affect your legal or financial position. 

8. User Content 

You may be able to submit, upload, or share content (such as text, data, documents, feedback, or other materials) through the Services (“User Content”). 

You retain any rights you have to your User Content, but by providing User Content to us, you grant ADG Consulting a non‑exclusive, worldwide, royalty‑free, sublicensable license to use, host, store, reproduce, modify, display, and create derivative works from such User Content solely as necessary to operate, improve, and provide the Services to you and others. 

You represent and warrant that: 

  • You have all necessary rights to submit the User Content. 
  • Your User Content does not infringe or violate the rights of any third party or any law. 

We reserve the right (but have no obligation) to remove or disable access to any User Content that we believe violates these Terms or applicable law. 

9. Our Intellectual Property 

The Services, including all content, features, and functionality (such as text, graphics, logos, icons, images, audio, video, software, and the design and arrangement thereof), are owned by ADG Consulting or our licensors and are protected by copyright, trademark, and other laws. 

Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your internal business purposes only. You may not copy, reproduce, modify, distribute, or create derivative works from the Services except as expressly permitted by these Terms or by law. 

Nothing in these Terms grants you any rights to our trademarks, trade dress, or other brand features without our prior written permission. 

10. Third‑Party Services and Links 

The Services may contain links to or integrations with third‑party websites, applications, or services (including Shopify, analytics providers, and other partners). 

These third parties are not controlled by us, and we are not responsible for their content, policies, or practices. Your use of third‑party services is subject to those third parties’ terms and privacy policies, and you should review them carefully. 

11. Termination and Suspension 

We may suspend or terminate your access to the Services (in whole or in part) at any time, with or without notice, if we believe you have violated these Terms, if we suspect fraudulent or harmful activity, or for any other lawful reason. 

You may stop using the Services at any time and may request closure of your account if applicable. Upon termination, your right to access and use the Services will immediately cease, but these Terms will continue to apply to any obligations or liabilities that arose prior to termination (including payment obligations and limitations of liability). 

12. Disclaimers 

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADG CONSULTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. 

We do not warrant that the Services will be uninterrupted, error‑free, secure, or free of harmful components, or that any defects will be corrected. 

13. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ADG CONSULTING OR ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In those cases, our liability will be limited to the fullest extent permitted by applicable law. 

14. Indemnification 

You agree to indemnify, defend, and hold harmless ADG Consulting and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: 

  • Your use of or access to the Services. 
  • Your violation of these Terms or any applicable law. 
  • Your User Content or any other information or materials you provide. 

15. Governing Law and Dispute Resolution 

These Terms and your use of the Services are governed by the laws of the State of Maryland and the United States, without regard to conflict‑of‑law principles. 

Any dispute, claim, or controversy arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Maryland, and you consent to the personal jurisdiction and venue of such courts, except where applicable law provides you with different rights. 

16. United States‑Only Use 

The Services are intended for use by individuals and businesses located in the United States. We do not represent that the Services are appropriate or available for use in other jurisdictions. Users who access the Services from outside the United States do so on their own initiative and are responsible for compliance with local laws. 

17. Miscellaneous 

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. 

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. 

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction, subject to applicable law. 

These Terms, together with our Privacy Policy and any other applicable policies or product‑specific terms, constitute the entire agreement between you and ADG Consulting regarding the Services.
